Marvell Is Weighing a Lumentum Acquisition. Morningstar Sees the Logic but Worries About the Price.

Marvell Technology is considering an acquisition of Lumentum Holdings, and the central question for Marvell shareholders is not whether the combination makes strategic sense, but whether Marvell would pay too much to get it done. Morningstar analyst William Kerwin, CFA, published his assessment on October 29, 2026, and his conclusion is cautious.

What the deal would add

Lumentum makes optical lasers and components, the hardware that moves data as pulses of light rather than electrical signals. According to Morningstar, those products would add significant breadth to Marvell's existing optical chip portfolio and push the combined company further into the infrastructure supporting artificial intelligence workloads.

Where Morningstar draws the line

Kerwin's concern is valuation. Morningstar carries a fair value estimate of $360 per share for Marvell, which it rates four stars, a designation the firm uses to indicate it considers a stock modestly undervalued. For Lumentum, Morningstar's standalone fair value estimate is $750 per share.

The worry is that Marvell would need to pay a meaningful premium above that $750 figure to get a deal done. Morningstar applies a "narrow moat" designation to both companies, meaning it believes each has a competitive advantage that is real but not especially wide or durable. A buyer paying a large premium for a narrow-moat target is betting the combined business will generate returns that justify the cost, and Kerwin is skeptical Marvell can clear that bar.

His bottom line, as Morningstar published it: "We maintain our $360 fair value estimate for narrow-moat Marvell, and $750 valuation for narrow-moat Lumentum. We put the probability that a deal goes through somewhere below 50%, and worry about the price Marvell shareholders would pay."

The Motley Fool also flagged the acquisition as a key consideration for investors evaluating Marvell, though the full substance of that analysis was not available in the published text.

What to watch

The deal has not been announced, and Morningstar assigns it less than even odds of closing. If it does move forward, the price Marvell agrees to pay relative to Morningstar's $750 Lumentum estimate will be the first number worth watching: a large premium would indicate Marvell is stretching, and Kerwin's concern about overpayment would sharpen accordingly.

For investors already holding Marvell, the practical trade-off is this: Morningstar's current four-star rating reflects a view that the stock is worth owning on its own merits at current prices. A Lumentum deal could extend Marvell's position in AI infrastructure, but on Morningstar's analysis, whether it adds value or erodes it depends almost entirely on the acquisition price.
