Gauzy raises $7M PIPE led by CEO to cover $61M debt settlement

Gauzy Ltd., the Tel Aviv-based light and vision control technology company, closed a $7 million private placement on October 15, 2026, with the proceeds earmarked to fund a debt restructuring that the Tel Aviv-Jaffa District Court approved in September. The announcement was made via Business Insider Markets.

The offering was structured as a private investment in public equity, or PIPE, in which the company agreed to sell 2,383,279 ordinary shares at $2.9371 per share to a group of accredited investors. Chief Executive Officer Eyal Peso led the investor group, making the raise notable as a management-led bet on the company's own recovery.

An additional 953,311 ordinary shares will go directly to two trustees overseeing the settlement, Adv. Ehud Gindes and Adv. (CPA) Simion Keidar, as required under the settlement's terms.

The restructuring itself was granted final approval on September 8, 2026, under Israel's Insolvency and Economic Rehabilitation Law, 5778-2018, and covers approximately $61 million in liabilities the company had accumulated before filing. Peso framed the raise in terms of personal conviction: "This investment reflects my personal conviction, and that of our management team, in Gauzy's technology, our customers and our long-term growth strategy," he said in the announcement. "With the court-approved Settlement now fully financed from day one, we have resolved our legacy liabilities and can turn our full attention to executing on our backlog across the Architecture, Automotive, Aviation and Rail markets."

One piece of the transaction is conditional. Of the $7 million raised, $1,638,000 will be held by the settlement trustees and returned to the relevant investors, with the corresponding shares cancelled, if the Lyon Commercial Court in France does not approve a continuation plan for Safety Tech SAS, a Gauzy subsidiary, by November 13, 2026. That deadline is the most immediate variable for anyone watching the stock.

The broader restructuring picture is straightforward: Gauzy used a management-led capital raise to pre-fund a creditor settlement rather than leaving the financing open-ended after court approval. That approach limits the gap between legal resolution and actual payment, which is typically where restructurings stall. Whether the strategy holds depends on the French court's decision next month and on Gauzy's ability to convert its stated backlog in architecture, automotive, aviation and rail into revenue.

Nasdaq compliance is a separate watch item. The company's own forward-looking disclosures flag the risk of failing to maintain continued listing requirements, which is a standard concern for a small-cap company that has just emerged from insolvency proceedings. No specific compliance deadline or deficiency notice was disclosed in the announcement.
